These General Terms & Conditions (\u201cT&Cs\u201d) govern the use of the EarlyPay Service (\u201cService\u201d) offered by dopay LLC (\u201cDopay\u201d, \u201cwe\u201dThey are incorporated by reference into the EarlyPay Addendum signed between Dopay and the Client Company (\u201cClient\u201d).<\/p>\n\n\n\n

The Client and Dopay hereinafter be collectively referred to as “Parties<\/p>\n\n\n\n
By subscribing to the Service, the Client agrees to these T&Cs.<\/p>\n\n\n\n
<\/p>\n\n\n\n
Fees: Subscription and other charges payable by the Client for the Service, as communicated by Dopay.<\/p>\n\n\n\n
2.1 EarlyPay allows Beneficiaries to receive a portion of their earned wages before the regular payroll date.<\/p>\n\n\n\n
2.2 The Service is not a loan. Dopay does not provide credit or financing. All disbursements are payroll advances made by Dopay on behalf of the Client, and the Client remains fully liable to settle them.<\/p>\n\n\n\n
2.3 Enrollment in EarlyPay is subject to Dopay\u2019s review and approval. Requesting EarlyPay or meeting certain eligibility criteria does not guarantee acceptance. Dopay reserves the right, at its sole discretion, to accept or reject any Client or Beneficiary for EarlyPay, and may impose additional conditions before or during the Service.<\/p>\n\n\n\n
2.4 The Client agrees to delegate Dopay to process Beneficiary requests and disburse funds to Beneficiaries as instructed.<\/p>\n\n\n\n
3.1 Provide accurate and up-to-date records of Beneficiaries, including names, national IDs, salaries, and limits.<\/p>\n\n\n\n
3.2 The Client acknowledge and guarantee ensuring that Beneficiaries have given valid consent for the use and sharing of their personal data with Dopay.<\/p>\n\n\n\n
3.3 Maintain sufficient funds in the Payroll Account to cover payroll, EarlyPay disbursements, and applicable Fees.<\/p>\n\n\n\n
3.4 The client shall Indemnify Dopay against claims, losses, or damages resulting from:<\/p>\n\n\n\n
3.5 The Client acknowledges that this T&C form an integral part of EarlyPay Addendum signed between Dopay and the Client.<\/p>\n\n\n\n
<\/p>\n\n\n\n
4. Dopay Responsibilities<\/strong><\/p>\n\n\n\n 4.1 Dopay is committed to the following:<\/p>\n\n\n\n 5.1 Both parties agreed that the applicable Fees are as set out in the EarlyPay Addendum or as updated by Dopay from time to time. 6.1 Dopay will process Beneficiary data solely for the purpose of providing the Service. 7.2 Dopay\u2019s liability under these T&Cs is limited to the total Fees paid by the Client in the preceding 12 months.<\/p>\n\n\n\n 8.1 Either Party may terminate the Service by virtue of thirty (30) days\u2019 written notice.<\/p>\n\n\n\n 8.2 Dopay may suspend or terminate the Service immediately if:<\/p>\n\n\n\n 8.3 The client acknowledges and agrees that Dopay may suspend or withdraw EarlyPay eligibility from the Client or any Beneficiary at any time, at its sole discretion, including but not limited to for risk, compliance, or operational reasons, without any liability to Dopay.<\/p>\n\n\n\n dopay shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including war, terrorism, natural disasters, strikes, or government restrictions.<\/p>\n\n\n\n 10.1 Dopay may update these T&Cs or Fees from time to time.<\/p>\n\n\n\n 10.2 Updates will be communicated to the Client with at least thirty (30) days\u2019 notice.<\/p>\n\n\n\n 10.3 Continued use of the Service after the effective date of changes constitutes acceptance. The Client may terminate the Service if it does not accept the updates.<\/p>\n\n\n\n These T&Cs are governed by Egyptian law. Any disputes are subject to the exclusive jurisdiction of the Cairo courts.<\/p>\n\n\n\n\n

\n\n\n\n5. Fees & Payments<\/strong><\/strong><\/h3>\n\n\n\n
5.2 The Client accepts that Fees are deducted monthly from the Client\u2019s Payroll Account, together with any amounts advanced under the Service.
5.3 Dopay issues an invoice and payment receipt after each deduction.
5.4 If there are insufficient funds in the Payroll Account at month-end, Beneficiaries will not be eligible for the Service in the following month until sufficient funds are restored.<\/p>\n\n\n\n
\n\n\n\n6. Data Protection<\/strong><\/h3>\n\n\n\n
6.2 The Client is responsible for obtaining Beneficiary consents required under the Egyptian Personal Data Protection Law (Law 151\/2020).
6.3 Dopay will implement appropriate technical and organisational measures to protect personal data.<\/p>\n\n\n\n
\n\n\n\n7. Limitation of Liability<\/strong><\/h3>\n\n\n\n
7.1 Dopay is not responsible for:<\/p>\n\n\n\n\n
\n\n\n\n8. Termination<\/strong><\/h3>\n\n\n\n
