A NOSI review reveals that the entity in Alexandria is still calculating social insurance based on last year’s maximum insurable wage of EGP 14,500, while its two sister companies have moved to the 2026 ceiling of EGP 16,700. No one cut corners; each finance team simply relied on its own spreadsheet.

The cost of that error is easy to calculate. Across 100 senior employees over six months, that gap comes to roughly EGP 392,700 in unpaid contributions, before late-payment interest. (This scenario is illustrative, not a real case; the full calculation appears under Common Compliance Gaps below.)

Multi-entity payroll is increasingly common as Egyptian businesses scale, and the rules keep changing. Labor Law No. 14 of 2025 took effect on 1 September 2025, NOSI resets its insurable wage limits every January, and the Central Bank’s non-cash payment rules apply to any private employer above certain size thresholds. This guide explains payroll compliance in Egypt for groups with more than one legal entity: what each regulator expects, where audits usually start, and how to build a system your CFO and compliance team can defend.

IN SHORT

Payroll across several legal entities answers to four regulators: the Ministry of Manpower (Labor Law No. 14 of 2025), NOSI (Law No. 148 of 2019), the Egyptian Tax Authority, and the Central Bank’s non-cash payment rules. Most audit triggers stem not from fraud but from inconsistency between entities: caps updated at different times, different cutoff dates, or different contract practices. The fix is centralized oversight with entity-level execution, standardized documents, automated checkpoints, and bank-recorded payments that leave a clean audit trail.

THE COMPLIANCE LANDSCAPE

In This Article

Toggle

The Multi-Entity Compliance Landscape in Egypt

Entity-by-Entity Requirements

Common Compliance Gaps That Trigger Audits

Building an Audit-Ready Payroll System

The 2027 Compliance Calendar

Conclusion

Frequently Asked Questions

The Multi-Entity Compliance Landscape in Egypt

Egyptian groups end up with more than one legal entity for sound reasons: to separate liability between business lines, meet sector-specific licensing requirements, structure financing and tax, or keep acquired companies as standalone entities. For payroll, though, each legal entity is its own employer, with its own registrations, calculations, and compliance risk.

Every payroll in Egypt answers to three authorities, and a fourth regulates how wages are paid:

Ministry of Manpower. Labor Law No. 14 of 2025 governs contracts, wages, working time, records, and inspections.

National Organization for Social Insurance (NOSI). Law No. 148 of 2019 governs registration, the insurable wage, and monthly contributions.

Egyptian Tax Authority. Oversees salary tax withholding, quarterly declarations, and the annual reconciliation.

Central Bank of Egypt. Under Law No. 18 of 2019 and its executive regulation, a private employer with more than 25 employees, or monthly wages above EGP 100,000, must pay employees, board members, and social insurance contributions through non-cash methods. The thresholds apply per legal person or establishment, so test each entity separately. Approved non-cash methods include bank transfers, cards, and mobile payments recognized by the Central Bank governor, so check that your payroll provider is properly licensed and supervised.

What changed under Labor Law No. 14 of 2025

The law came into effect on 1 September 2025. Four changes matter most for payroll teams:

Employee data statements. Employers had to send the Ministry of Manpower a detailed statement of employee data and salaries within 30 days of the law’s effective date, and must update it every January.

A statutory annual raise. At least 3% of the insured wage, due one year after hiring or after the previous raise. Employers in economic difficulty can ask the National Wages Council for a reduction or waiver.

Arabic contracts in four copies. Contracts must be in Arabic, and the Arabic text prevails in a dispute; one copy is filed with the labor authority.

Digital proof and longer records. Bank transfer is now expressly accepted as proof of salary payment, and employee files may be kept electronically for five years after employment ends.

The numbers every payroll team should keep on one page

Item

Figure

Employer social insurance rate

18.75% of insurable wage

Employee social insurance rate

11% of insurable wage (29.75% combined)

Insurable wage range (from 1 January 2026)

EGP 2,700 minimum to EGP 16,700 maximum per month

Managers and board members listed in the commercial register

Flat 21% of the maximum insurable wage: EGP 3,507 per month in 2026

Private-sector minimum wage (since 1 March 2025)

EGP 7,000 per month

Statutory annual raise

At least 3% of insured wage, with a floor of EGP 250 per month

Do not confuse the two floors. The minimum wage (EGP 7,000) is the lowest pay an employer may offer; EGP 2,700 is the lowest wage on which contributions are calculated. NOSI’s limits have risen by about 15% a year under a schedule set in 2019 that runs through 2027 (Deloitte), so the next change takes effect on 1 January 2027. Other payroll levies, such as the Martyrs Fund and training-fund contributions, are not included in these rates, so confirm the full list with your tax advisor.

ENTITY BY ENTITY

Entity-by-Entity Requirements

The rule of thumb: each legal entity is a separate employer with its own obligations. What varies by structure is how much you can consolidate.

Limited liability company (LLC)

Its own NOSI employer file, opened with the office that covers the establishment’s location, and registration of its employees (Andersen Egypt).

Its own salary tax withholding calculations, declarations, and Arabic employment contracts.

Documented procedures for employees who move to or from sister companies (more on this below).

Joint stock company (SAE)

The same employer obligations as an LLC, plus board-level governance: a mandatory board of directors and annual audited financial statements (IGBS). Payroll should therefore reconcile to the general ledger in a way auditors can follow.

Managers and directors whose names appear in the commercial register are insured in the employer category at a flat 21% of the maximum insurable wage (PwC; Deloitte). The rule also applies to LLCs, so check how your LLC managers are insured.

Branch versus subsidiary

A branch of a foreign company is an extension of the parent rather than a separate Egyptian company (see our guide to choosing the right legal structure). This allows consolidated payroll under one employer and one register. However, NOSI files still follow the establishment’s location, so expect a separate registration for each location.

A separate legal entity means separate employer registrations, withholding, declarations, and contracts, even when the same finance team runs all of them.

Moving employees between entities

Treat a transfer as an exit from one entity and a new hire in another. The sending entity records the exit and documents final dues; the receiving entity signs a new Arabic contract and becomes the contributing employer. Decide in writing how leave balances and the 3% raise anniversary carry over. Procedures can vary by NOSI office, so confirm the steps locally before your first transfer.

COMMON GAPS

Common Compliance Gaps That Trigger Audits

Audit exposure rarely comes from one dramatic mistake. It builds from small inconsistencies between entities. Six gaps come up most often.

1. Inconsistent social insurance calculations

This is the scenario from the introduction. For an employee earning above the ceiling, combined contributions at the 2026 cap of EGP 16,700 are 29.75% × 16,700 = EGP 4,968.25 a month (employer EGP 3,131.25, employee EGP 1,837). On last year’s EGP 14,500 cap, the total is EGP 4,313.75. The EGP 654.50 monthly gap per employee, across 100 employees for six months, is EGP 392,700. In our guide to clean NOSI statements, we describe the same pattern of error: one entity applies the new cap and another does not.

2. Misaligned dates

Pay wages on a fixed monthly date and treat the 15th of the following month as the deadline for NOSI contributions and withheld salary tax (as summarized in our legal setup checklist). Locking the payroll register around the 25th of each month leaves time for review. When entities use different cutoff dates, a single correction can land in different months in each entity’s books.

3. Contracts that miss the required form

Contracts must be written in Arabic and prepared in four copies, and the Arabic text prevails (over any other language) in a dispute. A group that lets each entity use its own template will eventually find one that does not comply.

4. Cash payments and missing proof of payment

Cash payroll above the thresholds of Law No. 18 carries a fine of 2%–10% of the cash paid, capped at EGP 1 million, and the fine doubles for repeat offenses. Splitting payments to stay under the limits is penalized the same way. For example, EGP 2 million paid in cash would draw a fine between EGP 40,000 and EGP 200,000. Even below the thresholds, bank transfers are the safer choice, because they are accepted as proof of payment without a signed receipt.

5. Incomplete employee data and documents

Our conversations with clients confirm this risk. Max Speed’s leadership, Mohamed El Gazzar (CEO) and Haitham Hany (Co-Founder), identified incomplete workforce documents as a source of compliance issues with NOSI and other regulators. The company also extends the same medical and social insurance benefits to every type of employee, including seasonal and part-time staff, which makes complete records for every worker category essential.

6. Transfers without updated NOSI records

An employee who moves between sister companies but stays registered under the old entity creates a mismatch between payroll, contracts, and NOSI records. It is easy to miss, because both entities belong to the same group.

THE AUDIT-READY SYSTEM

Building an Audit-Ready Payroll System

A workable framework has four steps.

Step 1: Centralized oversight, decentralized execution

Give the group one dashboard that shows every entity and let each entity process payroll under its own registrations. Ahmed Fouad, CFO of Elsewedy Polymers, described a setup that works this way in practice. He sees today’s laws and regulations as better than ever for growing companies, and his group’s digital HR system handles the operational side of salaries, benefits, and compliance while offering employees 3 different salary channels, including dopay. The result is having central standards across the group with flexible execution.

Oversight also needs the right people. Max Speed’s leadership described how their operations function changed as the company grew: “In the early days, we relied on people we trusted. But as the company grew and expanded, we had to bring in people with real experience instead, and honestly, that took us to a whole new level.” Compliance ownership works the same way. Name an experienced owner for each entity’s payroll, and one group-level owner who sees them all.

Step 2: Standardize documentation

One bilingual contract template per employee type, with Arabic controlling, signed in wet-ink or electronically, in four copies.

Exact EGP figures for every pay component. Avoid phrases like “competitive salary.”

One standard record format across entities: electronic or paper files kept for five years after employment ends.

Step 3: Automate compliance checkpoints

Build the January cap update, tax bracket calculations, leave accruals, each employee’s 3% raise anniversary, and the seven-day overtime notification to the Ministry into the system rather than relying on calendar reminders. Automation removes manual calculation errors, but keep human review in place, such as periodic spot checks of a few records per entity.

Step 4: Make digital payroll the compliance foundation

Bank transfers are expressly accepted as proof of payment, and they produce what inspectors and auditors ask for: one timestamped record per employee per cycle that reconciles to the bank statement. They also keep you compliant with the non-cash payment rules. For a group, the practical test is whether every entity’s payments land in one reconcilable record.

This is where we come in. dopay for Business lets you manage payroll and visibility for all your sites and subsidiaries from one dashboard. It is compliant and audit-ready: dopay is regulated by the Central Bank of Egypt and holds a banking-agent license obtained through, and supervised by, Bank ABC Egypt.

SEE EVERY ENTITY’S PAYROLL IN ONE PLACE

Full control across subsidiaries, from one dashboard, with no minimums or limits.
