Business Terms & Conditions

These Business Terms (“T&Cs”) govern the use of the Dopay Business Account and related services (the “Core Services”) provided by Dopay Egypt LLC (“Dopay”, “we”, “us”). They form an integral part of the Service Agreement signed with each client (“Client”).
By using the Services, the Client agrees to these T&Cs.
1. Who is Dopay?
Dopay is a fintech company that provides payroll and payment services to businesses and their employees, contractors, and other beneficiaries (“Beneficiaries”). We provide Dopay Business Accounts and related services to companies, and Dopay personal accounts, prepaid cards, and related services to Beneficiaries.
2. Licensing & Partner Bank
We offer our services in partnership with Arab Banking Corporation Egypt SAE (the “Partner Bank”), an Egyptian bank regulated by the Central Bank of Egypt (“CBE”). The Partner Bank has obtained a license from CBE for Dopay to act as a Bank Agent and provide the Services.
- Client funds are held in a ringfenced account with the Partner Bank and are fully segregated from Dopay’s own operational accounts.
- The Partner Bank is responsible, as a regulated entity, for the security of Client funds.
3. Opening and Using the Dopay Business Account
3.1 Subject to acceptance by the Partner Bank, Dopay will open a Dopay Business Account for the Client. This is a virtual account in the Client’s name, used exclusively to pay Beneficiaries.
3.2 The Client may use “Dopay for Business” to:
- Add, suspend, or remove Beneficiaries;
- Open Dopay personal accounts for Beneficiaries;
- Order Dopay prepaid cards for Beneficiaries;
- View balances and transactions.
3.3 The Client is responsible for actions of authorized users. Dopay may freeze or block access in case of disputes or suspected misuse.
4. Beneficiary Accounts and Cards
4.1 The Client may request Dopay to open personal accounts for Beneficiaries, subject to CBE KYC rules. The Client is responsible for accuracy of Beneficiary data provided.
4.2 Dopay will facilitate issuance of a prepaid card (the “Dopay Card”) to each Beneficiary. Beneficiaries must present ID and sign proof of delivery.
4.3 Funds once credited to a Beneficiary’s account cannot be recalled without the Beneficiary’s consent.
4.4 Responsibility for the Dopay Card and Beneficiary account transfers to the Beneficiary once the card and account are activated.
5. Client Responsibilities
The Client shall:
- Provide complete, accurate, and up-to-date Beneficiary and payroll data;
- Maintain sufficient funds in the Dopay Business Account to cover payroll and applicable fees;
- Obtain necessary Beneficiary consents for data sharing under Egyptian law;
- Indemnify Dopay against claims, losses, or damages caused by inaccurate data, insufficient funds, or employment-related disputes.
6. Dopay Responsibilities
Dopay shall:
- Safeguard Client funds in cooperation with the Partner Bank;
- Provide reporting on account balances and transactions;
- Secure transactions in accordance with applicable data security and banking standards.
7. Transactions
7.1 Payroll instructions submitted are final and irrevocable once processed.
7.2 Beneficiary payments cannot be reversed once credited, except with the Beneficiary’s consent or where required by law.
7.3 Dopay may block or delay transactions if instructions are unclear, unlawful, or suspected to involve fraud or money laundering.
8. Data Protection
8.1 Dopay processes Client and Beneficiary data solely to provide the Services.
8.2 The Client shall ensure that the provision of Beneficiary data to Dopay complies with Egyptian Personal Data Protection Law No. 151/2020.
8.3 Dopay will apply appropriate technical and organizational measures to protect data.
9. Fees and Charges
9.1 Fees for Core Services (if any) are set out in the Client’s Service Agreement or as updated by Dopay from time to time.
9.2 Fees will be deducted from the Client’s Dopay Business Account, and an invoice and receipt will be issued.
9.3 If sufficient funds are not available, Dopay may suspend Services until balances are restored.
10. Limitation of Liability
10.1 Dopay’s maximum liability is limited to six (6) months of fees paid by the Client immediately preceding the claim.
10.2 Dopay is not liable for indirect, consequential, or loss of profit claims.
10.3 The Partner Bank is responsible, as a regulated entity, for safeguarding Client funds.
11. Confidentiality
Both Parties must keep confidential all non-public information received under this Agreement. This obligation continues after termination.
12. Anti-Money Laundering (AML)
The Client represents and warrants that it has and will continue to conduct its operations in full compliance with all applicable anti-money laundering and counter-terrorist financing laws. Dopay and the Partner Bank may block or report transactions suspected of breaching AML requirements.
13. Complaints
13.1 If the Client has a complaint, it should first contact Dopay’s account manager, call centre, or helpdesk.
13.2 If unresolved, the Client may escalate the complaint to info@cbe.org.eg (Central Bank of Egypt).
13.3 Dopay may record incoming and outgoing calls for training and compliance purposes.
14. Marketing and Branding
14.1 Dopay may, from time to time, promote and offer relevant products and services directly to Beneficiaries.
14.2 The Client grants Dopay the right to use its name, trade name, and logo in Dopay’s marketing materials, case studies, and client lists, unless the Client provides written notice opting out.
15. Updates to these T&Cs
15.1 Dopay may update these T&Cs from time to time.
15.2 Updates will be communicated with at least thirty (30) days’ notice.
15.3 Continued use of the Services after the effective date of updates constitutes acceptance. If the Client does not accept the changes, it may terminate before they take effect.
16. Governing Law & Jurisdiction
These T&Cs are governed by Egyptian law. Disputes are subject to the exclusive jurisdiction of the Cairo courts.
