EarlyPay General Terms and Conditions

These General Terms & Conditions (“T&Cs”) govern the use of the EarlyPay Service (“Service”) offered by dopay LLC (“Dopay”, “we”They are incorporated by reference into the EarlyPay Addendum signed between Dopay and the Client Company (“Client”).
The Client and Dopay hereinafter be collectively referred to as “Parties
By subscribing to the Service, the Client agrees to these T&Cs.
1.Definitions
- Client: The company that has signed an Addendum with Dopay for to benefit from EarlyPay Service.
- Beneficiaries: The Client’s employees and workers authorised by the Client to use the Service.
- Payroll Account: The Client’s Dopay Business Account used to fund payroll and Service transactions.
Fees: Subscription and other charges payable by the Client for the Service, as communicated by Dopay.
2.Service Description
2.1 EarlyPay allows Beneficiaries to receive a portion of their earned wages before the regular payroll date.
2.2 The Service is not a loan. Dopay does not provide credit or financing. All disbursements are payroll advances made by Dopay on behalf of the Client, and the Client remains fully liable to settle them.
2.3 Enrollment in EarlyPay is subject to Dopay’s review and approval. Requesting EarlyPay or meeting certain eligibility criteria does not guarantee acceptance. Dopay reserves the right, at its sole discretion, to accept or reject any Client or Beneficiary for EarlyPay, and may impose additional conditions before or during the Service.
2.4 The Client agrees to delegate Dopay to process Beneficiary requests and disburse funds to Beneficiaries as instructed.
3. Client Responsibilities
The Client is committed to the following:
3.1 Provide accurate and up-to-date records of Beneficiaries, including names, national IDs, salaries, and limits.
3.2 The Client acknowledge and guarantee ensuring that Beneficiaries have given valid consent for the use and sharing of their personal data with Dopay.
3.3 Maintain sufficient funds in the Payroll Account to cover payroll, EarlyPay disbursements, and applicable Fees.
3.4 The client shall Indemnify Dopay against claims, losses, or damages resulting from:
- Incorrect or incomplete payroll or Beneficiary data;
- Failure to maintain sufficient account funds;
- Any employment-related disputes with Beneficiaries.
3.5 The Client acknowledges that this T&C form an integral part of EarlyPay Addendum signed between Dopay and the Client.
4. Dopay Responsibilities
4.1 Dopay is committed to the following:
- Provide the Service with reasonable care and in accordance with these T&C.
- Deduct EarlyPay amounts from the Payroll Account and reconcile them against the Client’s payroll at month-end.
- Notify the Client of disbursed amounts and provide reporting for reconciliation.
- Deduct Fees in accordance with Article (5).
5. Fees & Payments
5.1 Both parties agreed that the applicable Fees are as set out in the EarlyPay Addendum or as updated by Dopay from time to time.
5.2 The Client accepts that Fees are deducted monthly from the Client’s Payroll Account, together with any amounts advanced under the Service.
5.3 Dopay issues an invoice and payment receipt after each deduction.
5.4 If there are insufficient funds in the Payroll Account at month-end, Beneficiaries will not be eligible for the Service in the following month until sufficient funds are restored.
6. Data Protection
6.1 Dopay will process Beneficiary data solely for the purpose of providing the Service.
6.2 The Client is responsible for obtaining Beneficiary consents required under the Egyptian Personal Data Protection Law (Law 151/2020).
6.3 Dopay will implement appropriate technical and organisational measures to protect personal data.
7. Limitation of Liability
7.1 Dopay is not responsible for:
- Employment obligations of the Client towards its Beneficiaries;
- Errors or delays caused by inaccurate payroll or Beneficiary data supplied by the Client;
- Any indirect, consequential, or loss of profit claims.
7.2 Dopay’s liability under these T&Cs is limited to the total Fees paid by the Client in the preceding 12 months.
8. Termination
8.1 Either Party may terminate the Service by virtue of thirty (30) days’ written notice.
8.2 Dopay may suspend or terminate the Service immediately if:
- The Client fails to maintain sufficient account funds;
- The Client breaches these T&Cs or the Addendum;
- Required by law or regulatory authority.
8.3 The client acknowledges and agrees that Dopay may suspend or withdraw EarlyPay eligibility from the Client or any Beneficiary at any time, at its sole discretion, including but not limited to for risk, compliance, or operational reasons, without any liability to Dopay.
9. Force Majeure
dopay shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including war, terrorism, natural disasters, strikes, or government restrictions.
10. Updates to These T&Cs
10.1 Dopay may update these T&Cs or Fees from time to time.
10.2 Updates will be communicated to the Client with at least thirty (30) days’ notice.
10.3 Continued use of the Service after the effective date of changes constitutes acceptance. The Client may terminate the Service if it does not accept the updates.
11. Governing Law & Jurisdiction
These T&Cs are governed by Egyptian law. Any disputes are subject to the exclusive jurisdiction of the Cairo courts.
